1. Who you are contracting with

These Terms govern your use of the AgentAI service (the “Service”), provided by AgentAI (“AgentAI”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.

2. The Service

AgentAI is a software platform that helps real-estate professionals generate marketing content, video, voiceovers and related assets using AI. Specific features available depend on your subscription plan.

3. Account & eligibility

You must be of legal age and have authority to bind your organization (if signing up on its behalf). You are responsible for keeping your credentials confidential and for all activity under your account, and you agree to provide accurate information.

4. Acceptable use

You will not, and will not allow others to:

  • use the Service for unlawful, fraudulent, infringing or harmful purposes;
  • send spam or unsolicited messages;
  • upload malware, probe, scan or otherwise interfere with security;
  • scrape, reverse engineer, resell or redistribute the Service or its outputs in violation of these Terms;
  • attempt to circumvent technical limits, rate limits or access controls.

5. AI-generated content

You are responsible for your prompts, the inputs you upload, your use of any AI outputs, and for verifying their accuracy and lawfulness before publishing. You represent that you have the rights to all content you submit. We may filter or refuse outputs and may remove content or suspend accounts for repeated or serious violations of these Terms or applicable law. AI outputs may be inaccurate and are not a substitute for professional legal, financial or real-estate advice.

You must not use the Service to generate, request or distribute:

  • illegal content, or content that infringes third-party rights;
  • deepfakes, non-consensual likenesses, or content impersonating real people;
  • hate speech, harassment, sexual content involving minors, or content inciting violence;
  • misleading real-estate disclosures, fraudulent listings or material that violates fair-housing laws;
  • malware, phishing material, or content designed to defeat security measures;
  • prompts or techniques intended to jailbreak, bypass or manipulate the safety controls of the Service or its underlying models.

We may moderate, filter, refuse or remove outputs at our discretion, and we may suspend or terminate accounts that repeatedly or seriously violate this section. AI outputs are generated probabilistically and may be inaccurate, incomplete or biased; do not rely on them for regulated professional advice (legal, financial, tax or real-estate disclosures) without independent human review.

5a. Rights complaints & takedown

If you believe content generated, hosted or distributed through the Service infringes your intellectual property, publicity or other rights, contact us via the in-app support channel with: (i) identification of the content and where it appears, (ii) the right you claim is infringed, (iii) your contact information, and (iv) a statement made in good faith that the use is not authorized. We will review valid notices, remove or disable access to infringing content where appropriate, and terminate accounts of users who are repeat infringers.

6. Intellectual property

AgentAI retains all right, title and interest in the Service, including software, documentation and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of content you submit; you grant us a limited license to host and process it solely to provide the Service.

7. Payment, billing & refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxation, cancellation and refund mechanics are governed by the Paddle Buyer Terms and our Refund Policy.

8. Service availability

We do not guarantee uninterrupted or error-free operation of the Service.

9. Suspension & termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious violation of these Terms. On termination, your right to use the Service ends; you may export your content within a reasonable window before deletion.

10. Warranties & liability

To the fullest extent permitted by law, the Service is provided “as is” and we disclaim all implied warranties. Our aggregate liability for any claim relating to the Service is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential or special damages (including loss of profits, data or goodwill). Nothing limits liability for fraud, death or personal injury where the law does not permit such limitation.

11. Indemnity

You will indemnify AgentAI against claims arising from your content, your use of outputs, your unlawful use of the Service or your breach of these Terms.

12. Changes

We may update these Terms from time to time. Material changes will be communicated via the Service or by email; continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which AgentAI is established. Disputes will be resolved in the competent courts of that jurisdiction.
